GENERAL INFORMATION

The ownership of https://kiroot-shop.com (hereinafter, the “Website” or the “Site”) is held by Nutribiótica S.L, with NIF [Tax Identification Number] B27834977 and registered office at C/Barxa do Covelo, 29, 1º Dcha., 36214 – Vigo (Pontevedra) (hereinafter “Nutribiótica” or the “Owner.”)

This document (hereinafter, the “Terms”), along with other documents referenced herein, governs the conditions under which the Website and the purchase of products on this Website operate, similarly to any other contract or legal relationship with the Owner in a binding manner.

Under these Terms, Nutribiótica’s activities through this Website include the commercialisation of food supplements and cosmetic products owned by Nutribiótica and its represented brands, as well as other promotional items and books.

In addition to reading these Terms, the User must have read the Legal Notice and the General Conditions of Use, including the Cookie Policy and the Privacy Policy of Nutribiótica, prior to accessing, browsing or using this Website. By using this Website or purchasing a product through it, the User agrees to be bound by these Terms and all previously mentioned conditions. If the User does not agree with them, they must leave the Website.

The User should note that some provisions of these Terms apply only to certain User categories, particularly Consumers.

Nutribiótica may unilaterally and without prior notice modify the Website’s provisions, configuration, content and services, as well as these Terms. This page will display the most current and updated version of these Terms. However, the User should periodically review these Terms to stay informed of any possible updates.

THE USER

Accessing, browsing and using the Website confers User status, meaning that the Terms established here and their eventual updates, are accepted from the moment browsing begins, without prejudice to the application of mandatory legal regulations as applicable.

The User is responsible for the proper use of the Website. The Site may only be used within the scope for which it is provided, in accordance with these Terms and applicable law. The Owner reserves the right to take necessary measures to protect their legitimate interests concerning the Site.

The User declares that they are older than 18 years old and have the legal capacity to enter into agreements through this Website.

The Website is primarily intended for Users who are residents of Spain. Nutribiótica does not make sure that the Website complies with legislations of other countries, totally nor partially. Nutribiótica declines all responsibility that can be derived from said access.

The User can formalise the agreement with Nutribiótica, the purchase agreement of the desired products in the language of these Terms.

PURCHASING PROCESS

To gain access to certain products available for purchase through the Website, Users may be required to provide their personal data as indicated on the purchasing process.

Product Description

Certain Products available on the Website are provided in exchange for compensation. Rates, duration, and conditions applicable to the purchase of these Products are described for each Product and may change with no prior notice.

Although Products on the Site are presented with the utmost technical accuracy, their representation on the Website in any way (including graphic materials, images, colours, or sounds) is intended only for reference and does not imply any guarantee regarding the characteristics of the Product.

Description of the Purchasing Process

Users can purchase on the Website using the methods and procedures established. They may follow Nutribiótica’s online purchasing process. The purchasing process includes the following steps:

  1. Users must select the Product or Products they wish to purchase, specifying the quantity and any specific characteristics, and add them to the shopping cart. The shopping cart will display the subtotal and total of their order, including the cost of the products and, if applicable, the delivery fee. Users also have the option to apply up to 1 discount coupon to their shopping cart. If the User is satisfied with their shopping cart, they must click “Place Order.”
  2. Users must review their order, modify it, add or remove items as needed.
  3. Users must provide their contact information, billing address and, if applicable, delivery address, and select their preferred payment method.
  4. Payment can be made by card through the secure Paycomet platform or via a bank transfer to the account number provided by Nutribiótica.
  5. In addition, Users can register or create a new User account to use the Service by providing all required data in a complete and accurate manner. Users can also use the Service without registering or creating a new User account; however, this may result in a limited availability of certain features or functions.
  6. After providing all required data, Users must carefully review the order and, finally, place it. To place the order, the User must accept these Terms and Conditions of Service by checking the required box.
  7. Afterward, the User will receive an email confirming that their order has been placed and the purchase confirmation. The order will be shipped according to the information provided by the User, who will also receive a shipping confirmation.
  8. Upon completion of the purchase, the User agrees to the Website generating an electronic invoice that will be sent to them by email.

Placing an order signifies the agreement and obligates the User to pay the price, taxes, and any additional expenses as stated on the order page. All notifications related to the described purchase process will be sent to the email address provided by the User for this purpose.

Retention of Title

Until the Owner has received the entirety of the payment for the purchase, the User will not obtain ownership of the products included in the order.

Prices

Users will be informed during the purchasing process and before shipment of all rates and costs, including shipping costs, that must be paid as well. Prices displayed will include applicable taxes and will be expressed in Euros (€), including taxes and, particularly, value-added tax (VAT). According to Law 37/1992 of December 28, on value-added tax (VAT), purchase orders to be shipped will include Spanish VAT if the delivery address is located within Spanish territory, except for the Canary Islands, Ceuta, and Melilla. The applicable VAT rate will be the one legally valid at the time of the purchase of the specific item.

Shipping costs will be included in the final price of the product for purchases over 40 €, taxes included, within the Iberian Peninsula (Spain and Portugal), or 70 € in the Balearic Islands, taxes included. For amounts below this threshold, shipping costs will be 6 € (+21% VAT) in the Peninsula, or 10 € (+21% VAT) in the Balearic Islands.

Prices may vary at any given moment, but any changes will not affect purchases or orders for which the User has already received an order confirmation.

Accepted payment methods include credit or debit card and bank transfer.

Payment with Credit or Debit Card:

The Client can pay on the Website with bank cards through a virtual POS system supported by the payment gateway of Banco Sabadell [Sabadell Bank] and the Paycomet platform. Clients who select this payment method during the purchasing process will be redirected to the website of the banking entity that collaborates with Nutribiótica. The card data provided by the Client on the bank’s website will be transmitted using a safety protocol (HTTPS), and Nutribiótica will not process nor store this data.

The price of the Order placed by the Client will be charged to the card that they have provided at the time of selecting the “Purchase” option in the bank’s website.

For security reasons, the Business reserves the right to reject or cancel any purchase if the payment is made through the bank card system. In such cases, Nutribiótica will inform the Client and refund the total cost of the purchase made with the card used by the Client during the purchasing process, within a maximum period of 15 days from the date of payment. Nutribiótica may also offer the Client an alternative payment method to complete the purchase.

Payment through Bank Transfer:

If this payment method is selected during the purchasing process, the Client will receive an email with the order confirmation, banking information, and order number, so that the Client can complete the transfer. In this case, this is the banking information that the client may use for the bank transfer:

To validate this payment, the Client must include the order number in the concept of the transfer, and send the transfer receipt to the provided email address.

Sales, Discounts and Coupons

The Owner may offer discounts or special promotions following the purchase of Products. All such offers and discounts will be subject to the admission criteria and the Terms and Conditions of the Site. The offers and discounts may be coupon-based and are always at the Owner’s discretion. Duplicated offers or discounts will not create any rights or entitlements for future use. Depending on each case, discounts or offers may only be valid for a limited time, or while stock lasts. Each coupon will be valid only if used in accordance with the Terms and within the time frame specified on the Website or the coupon itself. Only one coupon can be applied per order. Coupons may not used cumulatively.

Delivery

Deliveries will be made to the shipping address provided by the User and according to the details specified on the order’s summary. Upon delivery, Users should inspect the condition of the package and its contents, and promptly report any issues to incidencias@nutribiotica.es. 

Deliveries are available within Spain (Peninsula and Balearic Islands) and continental Portugal. Shipments will be handled by shipping companies that ensure the required product conservation conditions. We do not ship to the Canary Islands, Ceuta, Melilla, or international locations.

Except in cases of extraordinary or unforeseen circumstances, orders will be delivered within the time frame stated on the Website. The shipping period ranges between 48 and 96 business hours from the moment the order is received and it departs from the warehouse, on working days from Monday to Friday. Orders placed from Monday to Thursday before 13:30 and on Fridays before 12:00 will leave the warehouse the same day. Orders will not be processed on holidays of the city of Vigo, which may affect delivery dates. Deliveries are not be made on Saturdays.

For the purposes of these Terms, delivery of the order will be considered to have occurred at the moment when the User or a third party designated by the User takes physical possession of the Products, which will be evidenced by the signature upon receipt of the order at the agreed shipping address.

The User assumes responsibility for any risks associated with the products from the moment of delivery. The User will acquire ownership of the products when Nutribiótica receives full payment of all amounts due in relation to the purchase, including shipping costs, or at the time of delivery if this occurs after Nutribiótica has received the full payment amount.

The Owner will not be held responsible for any delivery errors caused by inaccuracies or failures in the User completing the order, nor for any damages or delays resulting from said inaccuracies.

If the goods are not received or collected after two delivery attempts made by the carrier, the order will be returned to Nutribiótica. After 14 days, if the User has not requested a new delivery, the order will be cancelled, and a refund will be processed. Unless expressly agreed otherwise, any subsequent delivery attempts will be at the User’s expense.

Availability

Every order received by Nutribiótica through the Website is subject to product availability and the absence of any circumstances or force majeure events that may affect their supply. If any difficulties arise in supplying the products, or if they are out of stock, Nutribiótica commits to contacting the User and refunding any amount that the User paid for the order.

Technical Means for Error Correction

If the User detects an error in the personal data provided to process their purchase application on the Website, they can correct the information by contacting Nutribiótica through the contact details specified on the Website or, if applicable, through the Customer Service Support contact methods provided. Alternatively, they may use the contact information provided in the first clause (General Information).

Similarly, the User should consult the Legal Notice and General Conditions of Use, specifically the Privacy Policy, for more information on how to exercise their right to rectification, in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016, on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (GDPR), as well as the Organic Law 3/2018 of December 5 on Protection of Personal Data and Guarantee of Digital Rights.

RETURNS POLICY

The User who purchases Products through the Website is entitled to several rights, which are listed and described below:

Right of Withdrawal

Pursuant to Royal Legislative Decree 1/2007 of November 16, approving the revised text of the General Law for the Defense of Consumers and Users and other complementary laws (LGDCU), Users who make a purchase through the Website have the right to withdraw from the purchase within 14 calendar days from the receipt of the purchased goods, for any reason and without needing to provide justification.

To exercise this right of withdrawal, the User must notify Nutribiótica of their decision by sending an email to: incidencias@nutribiotica.es The User may also use the withdrawal form that Nutribiótica provides as an annex to these Terms (Annex 1). The completed form should be sent to Nutribiótica, S.L Incident Department, Rúa Barxa do Covelo, 29, 1ºDcha., 36214, Vigo; however, its use is not mandatory.

To comply with the withdrawal period, the communication expressing the unequivocal decision to withdraw must be sent before the end of the 14-day period and should be reliably recorded.

Nutribiótica will refund all payments made to the Owner and received by the User, corresponding to the total of the purchase, including, when applicable, shipping costs without undue delay and, in any case, no later than 14 calendar days from the date Nutribiótica is informed of the User’s decision to withdraw. 

This refund will be made through the same payment method used in the purchase. In cases when payment was made with a bank card, the refund will be processed through the Paycomet payment platform and credited to the same card used to place the order. For payments made via bank transfer, the refund will be issued to the bank account number used for the transfer, or to the account number provided by the User through their email or withdrawal document.

The User must return the products subject to withdrawal by sending them to the warehouses located in Calle Barxa do Covelo, 29, 1º Dcha., 36214, Vigo (Pontevedra, Spain). 
This return must be completed within seven calendar days from the date the client communicates their decision to return the Product, unless the return is due to a defect on the product, an error in delivery, or damage incurred during transportation. 
The returning shipment must be carried out through a service that ensures the conservation conditions of the product are respected
The User acknowledges that they are responsible for the direct costs of returning the goods (such as transportation or delivery)
The User will also be liable for any decrease in the value of the products resulting from an different handling than necessary to establish the nature, characteristics and functioning of the goods.

The user acknowledges that there are certain exceptions to the right of withdrawal, in accordance with article 103 of the LGDCU. 
In this specific case, it applies to products that, for hygienic or health reasons, are sealed, and have been unsealed after delivery.
Therefore, because of food security reasons, there will be no refund if the product has been used beyond mere opening, if the products are not in the same condition as when delivered, or if they have suffered any damage after the delivery that is not attributable to the shipping company or Nutribiótica
That is, for security reasons and conservation of the Products commercialised by Nutribiótica, S.L, which are classified as food supplements that require controlled temperature and specific humidity conditions, any Products that are returned unsealed, opened, incomplete, spoiled or damaged by the Client will not be accepted.

Likewise, products must be returned using or including all of their original packaging, instructions, and documents that come with them, along with a copy of the purchase receipt.

Return of Defective Products, Shipping Errors, or Damage During Transportation

Nutribiótica prepares the packages in their warehouses in a way that prevents breakage. An isothermal packaging is included to maintain the product’s temperature, and the contents of the package are protected. In addition, the transportation companies that Nutribiótica works with are aware of the nature of the goods and their specific temperature requirements.

However, incidents may occur during shipment. In such cases, to comply with applicable regulations, Nutribiótica kindly requests that the User to carefully examines the packaging of their order to ensure that it does not show any damage, dents or defects. If the User identifies any irregularity, they must report it at the time of delivery and note it on the delivery slip.

On the other hand, there might be cases when the User believes that, upon delivery, the product does not conform to what was stipulated in the contract or purchase order. In such case, they should immediately contact Nutribiótica and report the discrepancy (defect/error) using the same methods or the contact information facilitated in the previous section (Right of Withdrawal).

If any of the aforementioned cases apply, the client must note it on the delivery slip that they sign when receiving their order. If the issue is apparent with the product itself, the client can contact Nutribiótica by sending an email to incidencias@nutribiotica.es In this email, the client should specify the issue and provide the following information to facilitate the return process: order number, full name, name of the product being returned, images of the affected product, full address so that the pick-up can take place, and contact phone number to coordinate the pick-up. Once the products are returned, they will be examined, and the User will be informed, within a reasonable period, whether a refund is applicable or if the product should be replaced instead.

The refund or replacement of the product will be processed as soon as possible and, in any case, within 14 days from the date we send the client an email confirming that the refund or replacement of the article will take place.

Guarantees

The User, as a consumer and user, is entitled to certain guarantees on the products that they purchase through this Website, in accordance with the legally established terms for each type of product, regarding any lack of conformity that becomes apparent within two years of the delivery of the product. Nutribiótica will not be held responsible for products purchased on other websites that are not owned by the company.

In this regard, it is understood that the products conform to the contract as long as they match to the description given by Nutribiótica, possess the qualities stated therein; are suitable for the uses typically expected of products of the same type; and offer the quality and performance that are standard for a product of the same type and can be reasonably expected. When the delivered products do not meet these conditions, the User will proceed as indicated in the section “Return of Defective Products or Shipping Errors.” However, some of the products that are commercialised on the Website may display non-uniform characteristics due to the type of material that they are made from. These variations are inherent to the individual appearance of the product and will not be considered defects.

CUSTOMER SERVICE

The client can cancel their order free of charge and without justification by contacting customer service as soon as possible, either by calling 986274830 or by sending an email to incidencias@nutribiotica.es. Customer service hours are from 09:00 to 16:00.

If the order has not yet left out warehouses, we will cancel it. However, if the order is already in transit, we will have to wait until we receive it back and, once its return is confirmed, we will process a refund (excluding shipping costs). The refund will be issued through bank transfer.

EXCLUSION OF LIABILITY

Nutribiótica shall not be liable, unless otherwise provided by law, for any of the following losses, regardless of their origins:

  • any losses not attributable to any breach by Nutribiótica.
  • business losses (including loss of profits, revenue, contracts, anticipated savings, data, loss of goodwill, or unnecessary spendings incurred).
  • any other indirect loss that was not reasonably foreseeable by both parties at the time the purchase agreement for the products was formalised by both parties.

Likewise, Nutribiótica also limits their liability in the following cases:

  • Nutribiótica takes all necessary measures to provide an accurate representation of the product on the Website; however, it shall not be liable for minor differences or innacuracies that may arise due to screen resolution issues, browser problems, or other similar factors.
  • Nutribiótica will act with the utmost diligence to ensure that the product ordered by the client is delivered to the transportation company. However, it shall not be liable for damages caused by issues with transportation, particularly in cases such as strikes, traffic delays, and other instances that are usual in the industry, in general, that result in delays, losses or theft of the product.
  • Technical errors that may incidentally or otherwise prevent the normal operation of the online service, as well as lack of availability of the Website due to maintenance reasons or others, which prevent from the use of the service.
  • Nutribiótica makes every effort to facilitate the purchasing, payment and shipping/delivery processes, however, it shall not be liable for causes that are not attributable to it, including fortuitous events or force majeure.
  • Nutribiótica shall not be liable for misuse or deterioration of the products once used by the User. Additionally, they shall not be liable for incorrect returns made by the User. It is the User’s responsibility to return the correct product.
  • In general, Nutribiótica shall not be liable for any failure or delay in fulfilling any of its obligations, when such failure or delay is caused by events beyond its reasonable control, caused by force majeure, including, but not limited to:
    • Strikes, lockouts, or other labour disputes.
    • Civil commotion, riots, terrorist attacks or threats, war (declared or not), or threat of preparations of war.
    • Fire, explosion, storm, flood, earthquake, sinking, epidemic, or any other natural disaster.
    • Impossibility of using trains, ships, airplanes, motor vehicles, or other modes of transport, whether public or private.
    • Impossibility of using private or public telecommunications systems.
    • Acts, decrees, legislation, regulations, or restrictions imposed by any government or public authority.

In such cases, obligations will be suspended for the duration of the force majeure event, and Nutribiótica will be granted an extension of the time period for fulfilment equal to the duration of the force majeure event. Nutribiótica will use all reasonable means to find a solution that allows it to fulfil its obligations despite the force majeure.

WRITTEN COMMUNICATIONS AND NOTIFICATIONS

By using this Website, the User agrees to communicate with Nutribiótica primarily via email (emails or notices published on the Website).

For contractual purposes, the User consents to using this electronic means of communication and acknowledges that all contracts, notifications, information, and other communications that Nutribiótica sends by electronic means fulfil the legal requirements for being in writing. This condition does not affect any rights granted to the User by law.

The User may send notifications or communicate with Nutribiótica through the contact information provided in these Terms and, if applicable, through the contact forms on the Website.

Similarly, unless otherwise specified, Nutribiótica may contact or notify the User via email or delivery address provided.

WAIVER

No waiver from Nutribiótica or any specific right or legal action, nor any failure by Nutribiótica to require strict performance by the User of any of their obligations, shall constitute a waiver of any other rights or actions arising from the contract or these Terms, nor shall it relive the User from the performance of their obligations.

No waiver by Nutribiótica to any of these Terms or of the rights or actions arising from a contract shall take effect unless specifically it is expressly stated as a waver and is formalised and communicated to the User in writing.

SEVERABILITY

If any of these Terms were declared null and void by firm resolution dictated by a competent authority, the remaining clauses will remain in force, and not be affected by said severability declaration.

ENTIRE AGREEMENT

These Terms and all documents expressly referenced herein constitute the entire existing agreement between the User and Nutribiótica concerning the subject matter of the sale, and they supersede any prior representation, agreement or promise, whether verbal or written, made by either party.

The User and Nutribiótica acknowledge that they are entering the agreement without relying on any representation or promise made by the other party, except as expressly stated in these Terms.

DATA PROTECTION

The information or personal data that the User provides Nutribiótica during a transaction on the Website will be processed in accordance with the Privacy Policy. By accessing, browsing, or using the Website, the User consents to the processing of such information and data, and affirms that all information and data provided by them is truthful.

RAFFLES

Nutribiótica organises periodic raffles through its website, and announces them on its Instagram and Facebook profiles.

Nutribiótica reserves the right to modify these Terms at any time. These rules will apply to any raffle, unless expressly and explicitly stated otherwise.

Participation in a raffle implies that the participant has read and understood the Terms and Conditions and agrees to be bound by them.

The territorial area of participation in the raffles is the Iberian Peninsula (Spain and Portugal), and the participation of profiles outside this territorial area will not be valid.

The specific requirements for participating in the raffles and details about the prize will clearly and thoroughly outlined on each announcement.

Only individuals who are of legal age and with residence in Spain or Portugal, who are subscribed to Nutribiótica’s newsletter and comply meet any additional requirements specified for each raffle will be able to participate.

The following will be excluded from participation:

  • Any kind of legal entity, especially those engaged in food supplement distribution
  • Fraudulent profiles
  • Nutribiótica’s employees and staff

Participation in the raffles organised by the company involves the express transfer of all intellectual property and image rights related to the entries. This means that the participant authorizes Nutribiótica to use the intellectual, industrial, and image rights that may belong to them or arise from the submitted entries.

All entries must be received by the company before the final day stipulated for the specific raffle. No participation, entry or response to a raffle that does not meet these requirements will be accepted as valid. This includes entries that are not properly addressed, registered, or received after the deadline specified for the particular raffle, whether due to technical issues or other reasons.

Nutribiótica reserves the right to disqualify any participation, entry or response to a raffle deemed to infringe these rules or involve any inappropriate methods.

The raffle will be advertised through specific campaigns and social media profiles.

The winner will be selected using an online tool that ensures randomness. The winner will be announced on Nutribiótica’s social media, and the company will contact the winner to deliver the prize. The prize will be sent to the delivery address provided by the winner, as long as it is located within the Iberian Peninsula.

If the winner of a Competition does not claim or accept their prize for any reason, or if the winner cannot be notified within a week of the first contact attempt, Nutribiótica may freely use the prize and allocate it as deemed appropriate, with no further obligation to the winner.

Nutribiótica will not be responsible for any errors in the information provided by the winner which prevent their identification.

Additionally, Nutribiótica will not be liable for any loss, damage, theft, or any other circumstance attributable to the shipping company that can affect the delivery of the prize.

Nutribiótica reserves the right to take legal or judicial action against individuals who engage in any acts considered manipulation or falsification of the raffle.

Nutribiótica will ensure that the winner meets the required criteria, and has the authority to determine if there are any form defects.

Nutribiótica reserves the right to postpone or extend the raffle period, as well as to interpret these legal bases.

Neither Facebook, Instagram, nor any other company related to the Meta group sponsors, endorses or administers these raffles in any way, and the raffles are not associated with them. The User is completely dissociated from said social media platforms and agrees to provide their data to Nutribiótica, S.L, and not to Meta. The provided information will be used to manage the User’s entry into the raffle, communicate the prize and deliver it to them.

For any matter that is not specified in this clause, the company abides by the Legal Notice, Cookie Policy, and Privacy Policy of the Website.

MODIFICATIONS

Nutribiótica reserves the right to make any modifications that it deems convenient on the Website with no prior notice. It may change, delete, or add to the contents and services offered through the Website, as well as the way that they are presented or located.

Although Nutribiótica will make its best effort to maintain the Website up-to-date and free from errors, it does not provide any guarantees regarding its accuracy and updating. Neither is there any guarantee of obtaining any specific results or outcomes, so access to and use of the Website is the sole responsibility of users and clients.

LEGAL ACTIONS

Nutribiótica will pursue the breach of these Terms of Use, as well as any improper use of the Website or its contents, and any infringement of the rights belonging to it or its licensors, especially those related to Intellectual and Industrial Property, by executing all civil or criminal actions that may correspond by law.

OUT-OF-COURT DISPUTE RESOLUTIONS

The Users may present any conflicts to the Owner, who will attempt to resolve them amicably.

Although the User’s right to take legal action is not affected at any time, in the event of a dispute related to the use of nutribiotica.es/ or the Service, Users are encouraged to contact the Owner through the contact information provided in this document.

Users can submit their complaint by providing a brief description and, if applicable, the order details, and the purchase or account to which it pertains, by sending them to the Owner’s email address specified on this document.

The Owner will handle the complaint promptly within a 5-day period of its receipt.

OUT-OF-COURT DISPUTE RESOLUTIONS

Likewise, in accordance with the terms of Article 14 of Regulation (EU) No 524/2013 on online dispute resolution for consumer disputes and amending regulations, a direct link to online dispute resolution is provided at https://ec.europa.eu/consumers/odr/main/index.cfm

APPLICABLE LAW AND JURISDICTION

Access, browsing, and use of this Website, as well as any purchase agreements of products made through it, will be governed by Spanish law.

Any controversy, issue or disagreement that may arise or that is related to the access, browsing and use of the Website, or to the interpretation and execution of these Terms, or to the purchase agreements between Nutribiótica and the User, will be submitted to court and tribunal jurisdiction of Spain, in the city where the User has their habitual residence.
